These Terms of Use (the “Terms”) govern your access to and use of the website located at www.urbzee.com (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site. 

The Site is owned and operated by Direct Project Management LLC (“Direct Project Management,” “Urbzee,” “we,” “us,” or “our”) as an online platform.

7 Sun Media, LLC and First American Advertising Corp. (together, the “Advertising Companies”) use the Urbzee platform to promote their outdoor, street‑level Eco‑Bin and kiosk advertising inventory and to receive inquiries from prospective advertisers and other business contacts.

For clarity:

• Direct Project Management LLC operates the Site and provides platform and support services.
• The Advertising Companies are responsible for the advertising inventory described on the Site and for any advertising contracts they enter into with advertisers.

Nothing in these Terms creates any partnership or joint venture between you and any of the foregoing entities.

The Site is intended for business‑to‑business (B2B) use by prospective advertisers and related business contacts.

You may use the Site only:

• For lawful purposes; and
• To learn about advertising opportunities and to submit legitimate business inquiries.

You agree not to:

• Use the Site in any way that violates applicable law.
• Attempt to gain unauthorized access to the Site or related systems.
• Use the Site to transmit spam, malicious code, or harmful content.
• Scrape, harvest, or systematically collect data from the Site without our prior written consent.
• Misrepresent your identity or affiliation when using the Site.

We may suspend or terminate access to the Site by any user who violates these Terms, without prior notice.

The content on the Site is provided for general informational purposes only.

• Descriptions of advertising inventory, locations, and pricing are illustrative and subject to change, and do not constitute a binding offer.
• Any actual advertising opportunity is governed by a separate written agreement between the relevant Advertising Company and the advertiser.

You should not rely on any Site content as professional, legal, financial, or technical advice. You are responsible for obtaining your own independent advice before entering into any transaction.

The Site, including its design, text, graphics, logos, images, and other content (collectively, the “Content”), is owned or licensed by Direct Project Management LLC or the Advertising Companies and is protected by intellectual property and other laws.

Except as expressly permitted in these Terms, you may not:

• Copy, reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform the Content.
• Use any trademarks, service marks, or logos displayed on the Site without our prior written permission.

You may view the Site and print or download a single copy of Content for your internal business purposes related to evaluating advertising opportunities, provided you keep intact all proprietary notices.

If you submit information through a contact form, chat, email, or otherwise (collectively, “Submissions”):

• You represent that the information is accurate and that you have authority to provide it.
• You grant us a non‑exclusive, worldwide, royalty‑free license to use, reproduce, and process your Submissions for the purpose of responding to your inquiries, evaluating advertising opportunities, and operating and improving the Site and related services.

Do not submit confidential or proprietary information through the Site unless we have expressly agreed in writing to receive it under a separate agreement.

Our Privacy Policy explains how we collect, use, and disclose personal information and is incorporated into these Terms by reference.

The Site may use or link to third‑party services, websites, or resources that are not controlled by us.

• We are not responsible for the content, policies, or practices of any third‑party services or websites.
• Links or integrations do not constitute an endorsement of those third parties.

Your use of any third‑party service or site is at your own risk and subject to that third party’s terms and policies.

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by law, we disclaim all warranties, including:

• Warranties of merchantability, fitness for a particular purpose, title, and non‑infringement.
• Any warranty that the Site will be uninterrupted, error‑free, secure, or free of viruses or other harmful components.
• Any warranty regarding the accuracy, completeness, or reliability of any Content.

Any use of the Site and reliance on Content is at your own risk.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent such laws apply, some of the above exclusions may not apply to you, and our warranties will be limited to the minimum extent required by law.

To the fullest extent permitted by law:

• Neither Direct Project Management LLC nor the Advertising Companies, nor their respective owners, officers, employees, or agents, will be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Site, Content, or these Terms, even if advised of the possibility of such damages.
• Our total aggregate liability for any and all claims arising out of or relating to the Site, Content, or these Terms will not exceed one hundred U.S. dollars (US $100).

These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if any remedy fails of its essential purpose.

Some jurisdictions do not allow limitations of liability for certain damages. To the extent such laws apply, some of the above limitations may not apply to you, and our liability will be limited to the minimum extent required by law.

You agree to indemnify, defend, and hold harmless Direct Project Management LLC, the Advertising Companies, and their respective owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Site;
• Your violation of these Terms; or
• Your violation of any applicable law or third‑party rights.

We may modify, update, suspend, or discontinue any part of the Site at any time, with or without notice.

We may also update these Terms from time to time. When we do, we will change the “Last Updated” date at the top. Your continued use of the Site after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Site.

These Terms and your use of the Site are governed by the laws of the State of Florida, without regard to its conflict‑of‑laws principles.

You agree that any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of such courts.

We may suspend or terminate your access to the Site, in whole or in part, at any time and for any reason, including if we believe you have violated these Terms, without prior notice and without liability to you.

Sections of these Terms that by their nature should survive termination (including, without limitation, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and this Survival provision) will survive.
